Ms. Chan is counsel in Davis Polk’s Corporate Department, resident in Hong Kong.

She has worked on a broad range of credit transactions, bond offerings, liability management exercise including tender offers and consent solicitations and other corporate restructurings, representing debtors, creditors, banks and asset acquirers.

Work Highlights
Ms. Chan has been involved in a number of the firm’s restructuring assignments over the past several years, including:

■ Kaisa Group Holdings Ltd. – Advising Sunac China Holdings Limited, as prospective acquirer of Kaisa, in connection with the aborted acquisition of the outstanding shares of Kaisa and related debt restructuring.
■ LyondellBasell – Advising Citibank, as bank agent, in LyondellBasell, with respect to the largest private DIP financing (US$8.5 billion) in U.S. history and related exit financing.
■ Delphi Corporation – Advising JPMorgan, as bank agent, with respect to the US$4.5 billion DIP financing, including in connection with the credit bidding of the DIP facility claims in exchange for a substantial portion of Delphi’s businesses.
Federal Reserve Bank of New York in connection with the establishment of the Term Asset Backed Securities Loan Facility (TALF).
